Disney: $52.4bn agreement with 21st Century Fox to acquire its cinema and TV assets, including Sky

The Walt Disney Company has reached an agreement with the 21st Century Fox conglomerate to acquire significant shares in 21st Century Fox including 20th Century Fox, the studio of the US group, and various TV assets including 39.1% of pay TV group Sky, for $52.4bn of dollars (€44.4bn), announced the American company on 14/12/2017. With the incorporation of Fox's $13.7bn (€11.6bn) debt, the transaction amounted to 66.1 billion dollars (€56bn).

Fox's terrestrial TV channel, local stations, news channels and sports channels from 21st Century Fox (Fox Sports pay-TV channels) are not included in discussions with Disney, which already owns the ABC radio channel and the ESPN sports channel.

The pay-TV Group Sky, is the main UK Premier League rights holder for the 2016-2019 period and its subsidiary Sky Deutschland, is the main broadcaster of the Bundesliga in Germany for the 2017-2021 period.

21st Century Fox will receive 0.2745 Walt Disney shares for every 21st Century Fox share
