Vivendi: group now holds 55.43% of Lagardère (45.85% of theoretical voting rights)

Vivendi (parent company of the pay and free-TV group Canal+) now owns 55.43% of the Lagardère group, according to the French media and entertainment group, on 25/05/2022. Vivendi had already acquired 10.6% of the group's shares on 21/04/2020, and held 45% on 16/12/2021.

This acquisition follows the first phase of its tender offer for the shares of the Lagardère group launched from 14/04/2022 to 20/05/2022. Vivendi currently holds 55.43% of Lagardère's capital and 45.85% of its theoretical voting rights. However, this stake only gives Vivendi 22.5% of the voting rights "pending approval of the takeover of Lagardère by the competition authorities."

On 27.05/2022, the group opened the second phase of its tender offer, which will end on 09/06/2022. The final outcome of the bid will be announced by the Autorité des marchés financiers (AMF, the French Securities Regulator) on 14/06/2022.

• After the end of the second phase of the public tender offer, a subsidiary period will be open until 15/12/2023. The price of the shares will be set at €24.1 instead of €25 for the current period.
