Eagle Football Group: creation of an ad hoc committee in the event of a bid from Michele Kang or Ares

Eagle Football Group (EFG) takes note of developments in connection with the administration proceedings of its majority shareholder, Eagle Football Holdings Bidco Limited, which could lead to the sale of its 85% stake in EFG, and has established an independent ad hoc committee to oversee the potential change of control and prevent any conflict of interest, the holding company that owns Olympique Lyonnais (Ligue 1 McDonald's) announced on 14/04/2026.

This measure is taken "in light of potential conflicts of interest that could arise if the company’s CEO (Michele Kang) were to be involved" in a mandatory tender offer for the EFG shares held by Eagle Bidco.

Eagle Football Group also announced that it has entered into "confidentiality undertakings" with "a consortium comprising funds managed by Ares Capital and an affiliate of Michele Kang," linked to "the demonstration of a serious interest" in the acquisition of the EFG shares held by Eagle Bidco.
